Design Services Agreement

$40 Flat-Fee Full Service for One (1) Custom Image

This agreement is entered into between Jonathan P. Jaramillo, recognized as the "Designer" and operating under the artist name "FantasyWrestlers.AI", and the Client, hereinafter referred to as the "Client".

Scope of Work: The Designer agrees to provide AI-assisted prompt-engineering design services under the brand "FantasyWrestlers.AI".  This agreement includes the crafting of one (1) custom image, tailored to the Client’s specifications, submitted through the "Create Your Own Fantasy Wrestler" service.

Consultation and Design Process:

a. An initial consultation will be conducted to establish design standards, concepts, ideas, notes, feedback, and expectations.

b. The Designer will created custom images based on the Client's feedback and share digital proofs through a secure online portal.

c. The Client will select one (1) image from the set of provided proofs for a total of one (1) final image to be produced and delivered by the Designer. Additional images are available for an additional fee of $5.00 per final image rendered.

Revisions Policy:

a. The service includes a maximum of one (1) round of revisions per image at no additional cost. This allows for necessary adjustments to better align with the Client's vision

b. Further revisions may be available at an additional fee of $5.00 per extra revision, handled on a case-by-case basis. This additional fee covers the extra time and resources required to meet the Client's specific needs.

Production and Delivery:

a. Each selected image will be produced as a PNG file at a maximum resolution based on the prevailing capabilities of the AI image generator used.

b. Upon completion of the image(s), the Client will be notified, and payment is to be made via a secure online payment platform prior to digital pick-up.

c. Once payment is confirmed, the final product(s) will be made available for download/delivery via a secure online platform. The Client must complete the payment to receive the download link for the images.

Rights and Usage:

a. The Client will have full exclusive rights to the final image(s) for any and all purposes in perpetuity, reflecting the complete transfer of ownership from the Designer to the Client upon delivery and download.

b. The Designer relinquishes any claim to the image(s) once delivered and downloaded by the Client, supporting the client's freedom to use the image(s) as they see fit.

c. Should the Client decide to resell the image or engage in commercial use that may benefit from acknowledging the creative origin, they are encouraged to notify the Designer.

Fee:

a. The total fee for the services described herein is $40.00 USD. This is a flat fee service, covering all aspects of the design and delivery process as outlined in this agreement.

b. There will be no additional costs or fees expected to be incurred by the Client at any time during or after the completion of this service, except where outlined in the agreement. The flat fee service includes all necessary consultations, design work, revisions, and final delivery of the image(s).

Quality Assurance and Adjustments:

a. The Designer is committed to ensuring client satisfaction and will work collaboratively with the Client to address any concerns regarding the final image(s). This includes making necessary adjustments to better align with the Client's vision, maintaining a focus on delivering high-quality results.

Cancellation Policy:

a. This agreement operates on an 'at-will' basis, meaning either party may choose to terminate the agreement at their discretion. Should either the Designer or the Client decide to discontinue the services, they are encouraged to provide notice of this decision in a timely manner. However, no formal notice period is required under this policy. There are no cancellation fees or penalties for terminating the agreement under this clause.

Miscellaneous:

a. This agreement constitutes the entire agreement between the Designer and the Client.

b. Any amendments or modifications must be in writing and signed by both parties.
